By accessing or using Clyde ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. These terms apply to all users, including agencies and their team members.

2. Description of Service

Clyde provides AI agents that execute SEO and Google Ads workflows for marketing agencies. The Platform includes:

AI agents for SEO audits, keyword research, content briefs, and optimization
AI agents for Google Ads campaign creation and management
Tools for building presentations, websites, and creative assets
Workflow automation for chaining agent tasks

The Platform operates on a human-in-the-loop model—you review and approve all agent outputs before they are finalized or deployed.

3. Account Terms

To use Clyde, you must:

Be at least 18 years old
Provide accurate account information
Maintain the security of your password and account
Notify us immediately of any unauthorized access
Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts that violate these terms.

4. Subscription and Payment

Clyde offers subscription plans billed monthly. By subscribing, you agree to:

Pay the applicable fees for your selected plan
Provide valid payment information
Accept automatic renewal unless cancelled before the billing date

Prices may change with 30 days notice. Refunds are provided at our discretion.

5. Acceptable Use

You agree NOT to use Clyde to:

Violate any laws or regulations
Infringe on intellectual property rights
Generate spam, misleading content, or malware
Attempt to access other users' data or accounts
Reverse engineer or attempt to extract source code
Overload or disrupt the Platform's infrastructure
Resell access without authorization

We may suspend accounts that violate these rules without prior notice.

6. Your Content

You retain ownership of content you create using Clyde. By using the Platform, you grant us a license to:

Process your content to provide the services
Store your content on our infrastructure
Use anonymized, aggregated data to improve the Platform

You are responsible for ensuring you have the right to use any content you input (client data, brand assets, etc.) and for the accuracy of information you provide to AI agents.

7. Third-Party Integrations

Clyde integrates with third-party services including Google Ads, AI providers (OpenAI, Anthropic), and others. Your use of these integrations is subject to their respective terms. We are not responsible for third-party services' availability, accuracy, or policies.

8. AI Output Disclaimer

Clyde uses AI to generate content, strategies, and campaign materials. While we strive for accuracy, AI outputs may contain errors or require human review. You are responsible for reviewing and approving all outputs before use. We do not guarantee specific results from AI-generated content.

9. Intellectual Property

The Clyde platform, including its design, code, AI agents, and documentation, is owned by us and protected by intellectual property laws. Your subscription grants you a license to use the Platform—it does not transfer ownership of any intellectual property.

10. Limitation of Liability

To the maximum extent permitted by law:

Clyde is provided "as is" without warranties of any kind
We are not liable for indirect, incidental, or consequential damages
Our total liability is limited to fees paid in the 12 months before the claim
We are not responsible for losses from third-party services or your use of AI outputs

11. Termination

You may cancel your subscription at any time through your account settings. Upon cancellation:

Access continues until the end of your billing period
Your data is retained for 30 days, then deleted
You can request data export before deletion

We may terminate accounts that violate these terms, with or without notice depending on severity.

12. Changes to Terms

We may update these Terms of Service. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

13. Governing Law

These terms are governed by the laws of the State of Delaware, USA. Any disputes will be resolved in the courts of Delaware.
